The Constitution of the Loraine Ex-Students Association
ARTICLE I: NAME
Section 1. The name of the organization shall be the "Loraine Ex-Students Association".

Section 2. The word ‘Association’ hereinafter used shall be construed as representing the full name of this organization.
ARTICLE II: PURPOSE
The purpose of the Association shall be to perpetuate and strengthen ties of affection and esteem formed during Loraine school days, to further the interest and well being of Loraine Independent School District Ex-Students, and to further the cause of education in the community using contributed funds for student scholarships as defined in Section 501(c)(3) of the Internal Revenue Code.
ARTICLE III: MEMBERSHIP
Section l. Membership classes. Membership in the Association shall be of three (3) classes: Active, Associate, and Honorary. All former students of the Loraine I.S.D., or past or present members of the faculty or staff of the Loraine I.S.D. are eligible and qualified members of the Association. Please note that a former student includes all former students from schools that may have consolidated with Loraine, including but not limited to Champion, Silver, Landers, Baumann, Lone Star, Valley View, and Looney. An annual fee set by the Board of Directors shall be required for membership, with the exception of Honorary.

Section 2. Active Membership. Any person who is a former student, current or former faculty or staff member who is currently supporting the Association at the level prescribed by the Association Board of Directors.

Section 3. Associate Membership. Any person who is a spouse, parent, current student, or friend of a student or Ex-Student, and is currently sustaining the Association at a level as prescribed by the Association Board of Directors.

Section 4. Honorary Membership. Honorary members may be elected by Association Board of Directors in recognition of distinguished services in behalf of the Loraine I.S.D.
ARTICLE IV: BOARD OF DIRECTORS
Section 1. Composition. The Association Board of Directors shall consist of:
a. Not less than five (5) nor more than fifteen (15) members at large plus alternates.
b. The elected President, Vice President, Secretary, and Treasurer of the Association.
c. The Superintendent of the Loraine I.S.D.
d. The Principal of Loraine High School.

Section 2. Term of Directors.
a. Members at large and alternates shall be elected for a two (2) year term.
b. The President, Vice President, Secretary, and Treasurer of the Association shall serve two (2) year terms.
c. The Superintendent of the Loraine I.S.D. shall serve during the tenure of office.
d. The Principal of Loraine High School shall serve during the tenure of office.

Section 3. Election of Directors.
a. Nominations for at large Directors may be made by any active, associate, or honorary member of the Association.
b. One half of the at large Directors and Alternates are elected annually by the active, associate, and honorary members present.
c. Newly elected Directors and Alternates shall assume their responsibility at the conclusion of the annual meeting of the year in which they were elected.
d. Should a Director miss two consecutive meetings, the name will be placed before the Executive Board for review as to whether or not the person will remain on the Board.

Section 4. Powers and Duties. The duties of the Board of Directors shall be as follows:
a. Support and maintain the purpose of the Association.
b. Be the governing Board of the Association.
c. Hear appeals made by any member of the Association.
d. Encourage a keen awareness of the Loraine I.S.D. needs:
1. Financial assistance
2. Qualified student scholarships
3. Public awareness
e. Maintain a close bond between the administrators and the Ex-Students.
f. Maintain a close bond between faculty and Ex-Students.
g. Maintain a close bond between students and Ex-Students.
h. Increase the number of Ex-Students who will work in behalf of the Association.
i. Establish levels of support required to be an active or associate member.

Section 5. Meetings. The Board of Directors shall hold an annual meeting. Special meetings may be called by the President.
ARTICLE V: OFFICERS, ELECTIONS AND TENURE
Section 1. Officers. The officers of the Association shall be the President, Vice President, Secretary, and Treasurer.

Section 2. Tenure of Officers. The officers shall be elected bi-annually during even numbered years from the Board of Directors.

Section 3. Election of Officers. The President, Vice President, Secretary, and Treasurer shall be elected in the following manner, to wit: A nominating committee composed of three members of the Board of Directors shall be appointed by the President. The nominating committee shall compile a slate of officers and submit the list of candidates at the annual Board of Directors meeting during even numbered years. It shall take a majority vote of the Board of Directors present to elect officers (Amended Oct. 18, 2003, No. 4)
ARTICLE VI: EXECUTIVE BOARD
Section 1. Membership. The Executive Board shall be composed of six (6) members: The President, Vice President, Secretary, Treasurer, the Superintendent of Loraine I.S.D., and the Loraine High School Principal.

Section 2. Powers and Duties. The Executive Board shall administer the affairs of the Association during the interval between Board meetings. In case of a vacancy, the Executive Board shall have the power to fill the vacancy and such appointee shall hold office until the next regular election.

Section 3. Meetings. The Executive Board shall meet at the call of the President.
ARTICLE VII: POWERS AND DUTIES OF THE ASSOCIATION OFFICERS
Section 1. President. The President is the chief administrative officer of the Association and shall preside at all Association and Executive Board meetings. The President shall appoint all committee chairpersons.

Section 2. Vice President. The Vice President shall exercise the powers and duties of the President in the absence of the President.

Section 3. Secretary. The Secretary shall exercise the powers and duties of the President in the absence of the President and Vice President. The Secretary shall record the minutes of each meeting and be responsible for publicity and news releases.

Section 4. Treasurer. The Treasurer shall be responsible for maintaining all financial records and monies.
ARTICLE VIII: COMMITTEES
Section 1. Standing Committees. Nominating, Scholarship, Homecoming, Finance, Newsletter, and Membership.

Section 2. Other Committees. Additional committees may be appointed at the discretion of the President.
ARTICLE IX: MODE OF AMENDING CONSTITUTION
This constitution may be amended by two-thirds majority vote of the active, associate and honorary members present at annual meetings, provided written notice of proposed amendment(s) has been submitted to the Board of Directors at least two weeks prior to the meeting.
ARTICLE X: LIABILITY
No member of the Association or Board of Directors shall ever be held liable, or responsible, for any contract, default, or obligation thereof, nor shall any mere informality in this organization render this Association null and subject a member to any liability.
ARTICLE XI: EFFECTIVE DATE
This constitution becomes effective immediately on being adopted at the annual meeting October 13, 2001.

Constitutional Amendments
Amendment No. 1, October 18, 2003, Article IV, Section 2, Paragraph b:
The President, Vice President, Secretary, and Treasurer of the Association shall serve one (1)year terms.

Amendment No. 2, October 18, 2003, Article IV, Section 3, Paragraph c:
Newly elected Directors and Alternates shall assume their responsibility at the beginning of the calendar year.

Amendment No. 3, October 18, 2003, Article V, Section 2:
The officers shall be elected annually from the Board of Directors.

Amendment No. 4, October 18, 2003, Article V, Section 3:
... committee shall compile a slate of officers and submit the list of candidates at the first Board of Directors meeting after homecoming. It shall take a majority vote of the Board of Directors present to elect officers.
